Partner Agreement & Terms of Service
Gig33 is a working product name. This agreement is a plain-language draft under review by counsel and will be finalized before public launch. By using the platform you accept the terms below as written.
This Partner Agreement (“Agreement”) is between you (“Partner,” “you”) and the operator of Gig33 (“Gig33,” “we,” “us”). It governs your use of the platform to introduce local businesses to Gig33’s managed-website service. If you do not agree, do not use the platform.
1. What the platform is
Gig33 builds, hosts, bills, and supports websites for local businesses. As a Partner, you introduce businesses to that service using previews and approved scripts we provide. Gig33 performs and delivers the service and is the seller of record. You are a referral partner — not a reseller, agency, or employee.
2. Independent contractor; no employment
- You are an independent contractor. Nothing here creates employment, partnership, joint venture, or agency beyond the limited referral role described.
- You control your own time and methods within these terms. You are responsible for your own taxes. We collect a W-9 and issue a 1099-NEC where required by law (generally $600+ in a calendar year).
- You have no authority to bind Gig33, sign contracts, set prices, collect payment, or make promises on our behalf beyond the approved materials.
3. No guaranteed income
Enrollment is free. Commission is paid only on real, completed sales that Gig33fulfills and that clear payment. We make no earnings claims and guarantee no income, volume, or results. Any figures shown in the app are illustrative, not promises.
4. Honest outreach — approved scripts only
- You must use Gig33’s approved scripts and materials as written. You may not invent claims about search rankings, traffic, revenue, guarantees, urgency, fake reviews, staff, photos, or booking availability.
- Prefer calls and email. Do not send cold or mass text messages, robocalls, or spam. Follow TCPA, CAN-SPAM, and all applicable anti-spam and marketing laws.
- Do not impersonate Gig33 as an employee, or a business as its official representative. Introduce yourself honestly as an independent partner.
5. Prospect data — assigned use only
- Business information is provided from public directory sources for prospects assigned to you, for the sole purpose of introducing them to Gig33.
- You may not export, resell, redistribute, or use assigned prospect data for any other purpose, or contact businesses that were not assigned to you through the platform.
- You may not scrape, harvest, or bulk-collect data from the platform.
6. Intellectual property; anti-copying
- The platform, its software, designs, templates, previews, scripts, content, and brand are owned by Gig33 and protected by law. You receive a limited, revocable, non-exclusive license to use them only to perform your referral role.
- You may not copy, clone, reproduce, republish, frame, mirror, reverse-engineer, decompile, or create derivative works of the platform or its templates; nor build a competing product from them; nor remove notices.
- You may not use automated tools (bots, scrapers, crawlers) against the platform, attempt to access data that is not yours, probe or bypass security, or overload the service.
- Feedback you give us may be used without obligation. Any content you contribute is assigned to Gig33 to the extent needed to operate the service.
7. Payments & payouts
Customers pay Gig33 directly; you never handle customer money or the build. Approved commissions are paid to your connected payout method once the underlying sale clears and any refund window passes. Payout and tax features may roll out over time; commissions accrue under these terms regardless of when a feature ships.
8. Suspension & termination
Either party may end this Agreement at any time. We may suspend or remove access immediately for violations — especially dishonest outreach, misrepresentation, misuse of prospect data, or copying. Unpaid commissions for legitimate cleared sales made before termination remain payable; violations may forfeit disputed amounts.
9. Disclaimers & liability
The platform is provided “as is” without warranties to the fullest extent permitted by law. To the extent permitted by law, Gig33 is not liable for indirect or consequential damages, and total liability is limited to commissions paid to you in the prior three months. You are responsible for your own conduct and any claims arising from it.
10. Changes
We may update these terms; material changes update the version and effective date above and may require re-acceptance. Continued use after an update means you accept it.
